Zhuoxin Law Firm (“Zhuoxin”) is one of the larger-scale comprehensive law firms in China. Since its establishment in 1999 in Guangzhou, Zhuoxin has been gradually building recognition.

RECENT REPRESENTATIVE MATTERS

Litigation:

◆ Representing the Provisional Liquidators of a HK-listed Cayman Island company in a series of litigations in respect of its Mainland China subsidiaries before Chinese Courts across several Provinces, involving shareholder’s right of control, shares transfer, tort behaviours, bank loans, representing the foreign creditors and shareholders in the bankruptcy and reorganization procedure of the Chinese subsidiaries, assisting foreign companies in setting aside an arbitral award; and assisting several foreign companies in taking over their NRA bank accounts opened at different Chinese banks.

◆ Representing a Chinese listed company and a Hong Kong company in a USD5 million litigation concerning international trade disputes before the High Court of Tanzania and the Court of Appeal of Tanzania, and applying for recognition and enforcement of a CIETAC arbitral award in Tanzania.

◆ Representing two UAE companies in a series of litigation cases against a HK company (in provisional liquidation) and several Chinese companies arising from sales contract disputes, and also representing one of them before Guangdong High Court for property preservation liability disputes against the HK company and its guarantee company. The disputes arose from oil and chemical products shipped from Middle East to several ports in China. One of the above series cases was chosen as one of the 10 typical foreign-related civil and commercial cases during 2008-2018 published by Guangzhou Courts.

◆ Representing a foreign corporation in a USD 160 million litigation before the Shenzhen Intermediate Court against a well-known Chinese real estate listed company for default on US dollar bonds.

◆ Representing a BVI company in defending a retrial application case before the Supreme Court of the PRC for shares transfer dispute.

◆ Providing full service to an SOE in its international trade disputes with a Lebanese buyer and a UK guarantee company, cooperating with several foreign lawyers and monitoring the case progress.

◆ Representing the Receivers of a HK company in the litigation cases arising from shareholder’s right of control, liquidation liabilities, etc.

​◆ Representing a Spanish company in two CIETAC arbitrations for international trade disputes.

◆ Providing full service to a wholly-owned subsidiary of a Chinese listed company, in setting up a joint venture company in India with a UAE company, directly cooperating with Indian lawyers and accountants.

 

Non-Litigation:

◆ Staying in UAE for two months to provide non-litigation on-site service for an international trade project during the Covid.

Providing legal consultant service, debt collection service and litigation service to some foreign insurance companies such as Coface, Euler Hermes and Allianz JD; frequently representing the insured in litigations and arbitrations; with rich experience in trade credit insurance disputes.

◆ Assisting a general contractor of a Canadian LNG project in a construction contract dispute with a major state-owned subcontractor.

◆ Providing due diligence service to foreign companies in the acquisition of several non-performing asset disposal projects.

◆ Providing perennial legal consultant service to some well-known foreign-invested companies as well as their overseas headquarters, including Candy Group and Jinling of Haier Europe (Italian-invested), Taly (HK-invested), Connell China (US-invested), Educational Testing Service/ETS China (Dutch-invested, organizer of TOEFL tests in China), Tupperware (US-invested), Guangzhou Nestle, Swire Guangdong Coca-Cola, etc.
