Officially approved by the Law Society of Hong Kong, Zhuoxin Law Firm (“Zhuoxin”) has obtained the certificate of registration of Zhuoxin (Hong Kong) Law Firm (“Zhuoxin Hong Kong Branch”) in August 2024

As the only representative of Guangdong law firms, Zhuoxin has joined ADVOC and TAGLaw, two worldwide alliances of independent law firms, in 2013 and 2016 respectively. Zhuoxin aims to provide high quality legal service to all around the world.

Education Background
Ms. Liu received her B.A. in English Language and Literature from Foreign Languages’ Department of Hunan Normal University and received her LL.B. in International Economic Law from Fudan University. Ms. Liu also studied in the School of Oriental and African Studies (SOAS), University of London as a taught postgraduate in 2009 and 2010.
 
Work Experience
Ms. Liu is currently a partner at Guangdong Zhuoxin Law Firm. She worked first in a securities company for eight years after graduation, mainly as the board secretary of the company and has been practiced as a lawyer since 2001. She has valuable experience working in Lovells Beijing as an intern of ACLA----Lovells training program. As a successful candidate of Lord Chancellor's Training Scheme for Young Chinese Lawyers sponsored by the British government for the year 2009 to 2010, Ms. Liu experienced the study in SOAS, and was placed with Walker Morris, a leading law firm specialized in IP law, and then was placed with Monckton Chambers, which is a leading set of barristers' chambers, specialized in competition, EU law and government procurement law.
 
Practice Areas and Experience
Ms. Liu started her legal career by practicing at Guangda Law Firm since 2001. She has built a diverse practice covering corporate legal affairs including IPO, foreign investment in China, venture capital, corporation restructuring, M&A and banking and securities, including the company daily operation, contract management, labor issues, credit and debt analysis, disposition and company ownership reform and restructuring, etc,. She has been assumed as legal counsels for many companies with foreign investment, has provided legal services for the establishment of many wholly-owned foreign enterprises, joint venture and cooperative companies with foreign investment and M&A cases by stated-owned companies or foreign capital.
 
Ms. Liu has an education background in both foreign language and international economic law, this background allows her to provide excellent service in the area of foreign investment in China and cross-border trade, some key deals include:
lAdvised AGC Automotive in establishing WOFEs in Southern China, and provide legal services on labour law issues to the WOFEs;
lAdvised Dymatic Chemical, a listed company on its establishing a joint venture company with Wacker from Germany;
lRepresented China National Tobacco Corporation in jointly establishing a cigarette paper plant with Schweitzer-Mauduit;
lAdvised EarthTech on its acquisition and restructuring of a water treatment BOT project;
lRepresented Petroleum Authority of Thailand,PTT on taking legal actions (4 law suits and enforcement) against its debtors in China.
 
Ms. Liu is heavily engaged with a broad range of commercial matters, such as IPO, M & A and Restructuring, due to her experience in the capital market, some key deals in such area include:
lAdvising Guangzhou Tech-Long Packing Machine Co., Ltd. (002209, SZ) on its reconstruction and listing in Shenzhen Stock Exchange;
l Advising Artini China Co Ltd (789.HK), a Hong Kong-based fashion accessories supplier, on its listing in Hong Kong Stock Exchange;
lAdvising Guangdong Rising Nonferrous Metals Group Co., Ltd. on its reorganization of Hainan Xingye, a listed company in Shanghai (600259, SH);
lAdvising the set up of Guangdong Broadcast and TV Corporations;
l Advising Guangdong Henjian Investment Holding Co. Ltd on its indirect purchase of Guitang Gufen (00833,SZ), a listed company in Shenzhen;
lAdvising Guangdong Guangxin Holdings Group Ltd. on its purchase of Xinghu Keji (600866,SH), a listed company in Shanghai;
lAdvising Guangzhou Light Holdings Limited on its reconstruction and IPO;
l Advising China Aviation Oil Holding Company on its acquisition of equity interest of a port company in Pinghu, Zhejiang Province;
llAdvising Xinle Sanitary-ware (Foshan)Company, a WFOE to Roca Group, on its acquisition of a Chinese private sanitary-ware enterprise in Tangshan, Hebei Province;
lAdvising Eagle Brand, a public company listed in Singapore, on selling its sanitary-ware business to Roca Group;
lAdvising Eagle Brand on acquisition of a Chinese private ceramic enterprise; and
lAdvising PPG Industries International Inc, a listed company of Hongkong, on its acquisition of a Chinese private chemical company.
